Terms & Conditions

These Terms & Conditions (the "Terms") govern your access to and use of Moltgate (the "Service"). The Service is operated by EYE3 GROUP Ltd (the "Company", "we", "us", or "our").

Important: The Service helps route paid inbound messages to a recipient profile. We guarantee delivery of a paid message to the recipient inbox on the Service when technically possible, but we do not guarantee a response, outcome, or that a recipient will take any action.

1. Acceptance

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Definitions

  • "Sender" means a user or visitor who pays to send a message to a recipient profile.
  • "Recipient" means the account holder receiving inbound messages.
  • "Lane" means a priced message option (e.g., $10, $30, $100) configured by a Recipient.
  • "Revenue Share" means the portion of amounts collected from Senders that we make payable to a Recipient under these Terms.

3. Eligibility and Accounts

You must provide accurate information and keep it updated. You are responsible for activity under your account and for maintaining the confidentiality of account credentials, API keys, and access tokens. You must notify us promptly of any suspected compromise.

4. The Service

The Service enables Recipients to publish a profile and configure Lanes, and enables Senders to pay to send an inbound message. The Service may be used via our web interface and, where available, via API.

Message format restrictions: The Service is designed for plain-text messages only and does not support file attachments. We may modify supported formats, limits, and features at any time.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any law, regulation, or third-party rights.
  • Send unlawful, deceptive, abusive, harassing, hateful, or sexually explicit content.
  • Send malware, attempt to interfere with the Service, or probe/scan systems without authorization.
  • Harvest data, scrape content, or use automated means to access the Service except through an approved API and within documented limits.
  • Impersonate others, misrepresent affiliation, or facilitate fraud.
  • Use the Service to send spam or unsolicited bulk messages.

We may remove content, restrict functionality, or suspend/terminate access if we believe you have violated these Terms or pose risk to the Service or others.

6. Payments (Senders)

Checkout and processing: Sender payments are processed by third-party payment processors (for example, Stripe). We do not store full payment card details. Processor terms may apply.

Merchant of record: The Company is the merchant of record for Sender charges unless we explicitly state otherwise at checkout.

Delivery vs. response: A Sender is paying for a message to be delivered into the recipient inbox on the Service, not for a response, consultation, business outcome, or any particular action by a Recipient.

6.1 Refunds

Except where required by law, payments are non-refundable once a message is delivered to the recipient inbox on the Service. If a payment is successfully captured but the message is not delivered due to a technical error attributable to the Service, we may (at our discretion) attempt re-delivery or issue a refund to the original payment method. We may deny refunds where we reasonably suspect fraud, abuse, or a violation of these Terms.

6.2 Chargebacks

If a Sender initiates a chargeback, dispute, or reversal, we may investigate and respond through the payment processor. We may suspend accounts and withhold or reverse Revenue Share related to disputed transactions to cover actual or potential losses, fees, and reversals.

7. Revenue Share and Payouts (Recipients)

Revenue Share calculation: Revenue Share is calculated based on the plan and platform fee displayed in the Service and is subject to adjustments for refunds, chargebacks, disputes, fraud, processor fees (where applicable), taxes, and other corrections. The Company may change plan pricing, platform fees, and Revenue Share percentages prospectively by updating the Service and/or these Terms.

Minimum payout threshold: Revenue Share becomes eligible for payout only after you meet the minimum threshold displayed in the Service (currently shown as $50) and you provide a valid payout method.

Payout method: Recipients may be required to provide payout details (for example, a PayPal email). You are responsible for ensuring payout details are correct and compatible with the payout provider.

Payout timing: Payout processing times are estimates and may vary due to reviews, verification, fraud checks, chargebacks, operational constraints, banking/payment network delays, or legal requirements. Where displayed in the Service, we may state an expected processing window (for example, 3-5 business days).

Right to withhold or set off: We may delay, withhold, or set off payouts to prevent fraud, comply with law, complete verification, resolve disputes, or cover actual or anticipated reversals, refunds, chargebacks, fees, or amounts you owe us.

7.1 No Escrow; No Interest; No Trust

The Service does not provide escrow services. We are not a bank, money transmitter, payment institution, or fiduciary. Any Revenue Share balance shown in the Service is a record of amounts that may become payable under these Terms and does not represent stored value in your name. Revenue Share balances do not earn interest.

7.2 Taxes and Reporting

You are responsible for determining and paying any taxes that apply to your use of the Service and to any amounts you receive. We may request tax or identity documentation and may withhold payouts where required by law or where documentation is not provided.

8. Recipient Conduct and Disclaimers

Recipients are solely responsible for their communications, any services they offer, and how they respond to Senders. We do not endorse or verify Recipient claims, qualifications, availability, or performance. Any arrangements between Senders and Recipients are solely between them.

9. Content and Intellectual Property

You retain your rights in content you submit, post, or transmit through the Service. You grant us a limited, worldwide, non-exclusive license to host, store, transmit, display, and process such content to operate, maintain, secure, and improve the Service, and to enforce these Terms.

The Service, including its software, design, and branding, is owned by the Company and its licensors and is protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract source code from the Service.

10. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, if required by law, or if your use poses risk to the Service, users, or third parties. You may stop using the Service at any time.

Upon termination, your right to use the Service ceases. Sections that by their nature should survive will survive, including limitations of liability, disclaimers, indemnities, and dispute provisions.

11. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that messages will always be deliverable in every circumstance (for example, due to outages, third-party failures, or Recipient account restrictions).

12. Limitation of Liability

To the maximum extent permitted by law, the Company and its affiliates, officers, directors, employees, agents, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, goodwill, business opportunities, or other intangible losses, arising from or related to your use of (or inability to use) the Service.

To the maximum extent permitted by law, in no event will the Company’s total liability for all claims relating to the Service exceed the greater of (a) the amounts paid by you to the Company for use of the Service in the three (3) months preceding the event giving rise to the claim, or (b) USD $100.

13. Indemnity

You agree to defend, indemnify, and hold harmless the Company and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your content, your violation of these Terms, or your violation of any rights of another.

14. Changes

We may update these Terms from time to time. Updated Terms will be posted on this page, and the "Effective date" will change. Your continued use of the Service after an update becomes effective constitutes acceptance of the updated Terms.

15. Governing Law - Disputes

To the maximum extent permitted by law, these Terms and any dispute arising out of or related to the Service will be governed by the laws of Hong Kong, and the courts of Hong Kong will have exclusive jurisdiction, except where mandatory consumer protection laws provide otherwise.
